Basic obligation of the seller or lessor: transfer and deliver goods. Basic obligation of the buyer or lessee: accept and pay for conforming goods in accordance with the contract. Ucc provides for place of delivery if contract does not. Non-carrier cases: if the buyer is expected to pick up the goods, the place of delivery is seller"s place of business if seller has none, the seller"s residence. If identified goods and parties know they are located at some other particular place, then such location is the place for their delivery. Shipment contracts require/authorize the seller to ship goods by carrier. Obtain and promptly deliver or tender any documents to buyer necessary for possession. Promptly notify buyer that shipment has been made. Destination contract: seller aggress to see that conforming goods are tendered to buyer at a particular destination at a reasonable hour and held at his/her disposal for a reasonable length of time.
