Class 22: 10/11/16: parol evidence rule ucc. The ucc version mimics the common law version, except, the ucc uses a three prong test that is slightly different. In absence of a merger, analysis under the ucc requires the court to determine if the parties would have included the outside agreement in question. If they would have included the outside agreement, and they did not, then the contract is integrated and the parol evidence rule applies. If they would not have included the agreement, then the contract is not fully integrated and the parol evidence rule does not apply. Trial court rules in favor of plaintiff. It does not contract terms of the contract; it just lessens the effect. Plaintiff approaches defendant to purchase extra cat parts from defe(cid:374)da(cid:374)t"s i(cid:374)ve(cid:374)tory. Plaintiff sends a letter of intent to defendant with a clause stating.
