Though the governance literature proposes several definitions, most rest on three dimensions: authority, decision-making and accountability. Governance determines who has power, who makes decisions, how other players make their voice heard and how account is rendered. Governance is how society or groups within it, organize to make decisions. A fundamental tenet of governance is the placement of responsibility for oversight in a body that has the ability to act, to remove, reward or replace management based on performance. That body is usually independent from the management, and appointed to represent the constituency that the organization serves.
