Institutional sales: corporate finance, mergers and acquisitions, trading. 3 types of business ownership: sole proprietorship. Limited - limited liability up to the amount of their investment. Partners can divide profits in a multitude of ways. Ability to raise funds through sale of partnership interests. Double taxation in the case of a c corp. Ceo director r&d, director sales and marketing, cfo treasurer, information. Agency problem: most public corporations run by 3rd party managers. The interests of managers, shareholders and public do not align environmental issues outsourcing short term vs long term focus job security vs risk taking corporation perks and salaries vs cash flow maximization. Passed in 2002 in response to the enron scandal.
