De nitions : assignment: when rights under a contract are transferred! Can be done orally or in writing ! Rights can be given away or sold : delegation: the transfer of duties ! Tougher to do : assignor: the person who makes assignment, assignee: person who accepts the assignment ! After an assignment, the assignee is entitled to whatever performance the assignor had a right to under contract : the original party (promisor) must render all performance to assignee ! Contracts not assigned : assignment that materially alter duties ! Unenforceable since the promisor cannot be required to do something signi cantly more than or different than what he originally agreed to do : contracts involving personal rights! These are contracts in which some element of personal skill, credit, character, or judgement is an essential part of agreement ! Example: employment contracts : contracts that expressly forbid assignment , assignments contrary to public policy !
