Document Summary

A contract has two types of terms in this contract, express terms and implied terms. Often parties do not write, or agree orally to express terms for every situation. A spoken term in this instance would still be an express term. An implied term would not be spoken/written but implied under circumstances. However they are still terms of the contact. Some implied terms are implied by statue. The statute may allow the statute to exclude that implied term under contract. However some statutes may not allow this to protect a party (mandatory term) Sales of goods act is a good example where terms are implied to protect buyers. Terms can also be implied by common law: If a custom implies in a certain industry then courts will apply this term. However it can be otherwise excluded in contract. Defendant provided docking space for claimants ship. The tide went out and the ship rested on the ground and it was damaged.
