Application for charter (articles of incorporation) must include: Kinds and amounts of capital stock authorized. Common stock (share capital): the basic voting stock issued by a corporation. The nominal value per share of capital stock as specified in the corporate charter. Another name for bond principal, or the maturity amount of a bond. Less costly to give repurchased shares than to issue new ones. Newly issued shares increases number of shares in the market, which decreases company"s stock price. Increasing number of shares dilutes existing stockholders" investments; each share of stock would be worth less. Common stock never decreases; instead treasury stock (contra-equity) increases. Selling common stock is a financing activity. Declaration date: the date on which the board of directors officially approves a dividend. Record date: the date on which the corporation prepares the list of current stockholders who will receive the dividend when paid.
