This is called consideration: consideration is the difference between a gift and a contract a gift is a one-way, capacity, consent, lawful purpose exchange, and a contract is a two-way exchange. In an offer and acceptance, the party who initiates, or makes the offer, is known as the offeror; the party to whom the offer is made is known as the offeree.
